2.2 Service Limitations

  • Services are dependent on third-party carriers and platforms
  • AI responses are generated automatically and may require human oversight
  • Service availability may be affected by technical issues or maintenance

3. Account Setup and Management

3.1 Account Requirements

  • You must provide accurate business information
  • You are responsible for maintaining account security
  • One account per business entity unless otherwise agreed
  • You must designate authorized users for account access

3.2 Service Configuration

  • Initial setup includes AI training and customization
  • Configuration changes may require additional setup time
  • We provide training and onboarding support
  • You are responsible for providing necessary business information for AI training

4. Compliance and Legal Requirements

4.1 Messaging Compliance

You agree to:

  • Obtain proper consent before adding contacts to messaging campaigns
  • Comply with TCPA, CAN-SPAM, and all applicable regulations
  • Maintain opt-in records and documentation
  • Honor all opt-out requests immediately
  • Use messaging only for legitimate business purposes

4.2 Content Standards

You may not use our services for:

  • Spam or unsolicited messages
  • Illegal, harmful, or fraudulent communications
  • Harassment or abusive messaging
  • Misleading or deceptive content
  • Adult content or inappropriate material

5. Pricing and Payment

5.1 Service Plans

  • Pricing is based on selected service tier and usage volume
  • Plans include specific message allowances and feature sets
  • Overage charges apply for usage beyond plan limits
  • Custom enterprise pricing available for high-volume clients

5.2 Payment Terms

  • Monthly subscription fees are billed in advance
  • Usage-based charges are billed monthly in arrears
  • Payment is due within 30 days of invoice date
  • Late payments may result in service suspension
  • We accept Credit Cards, Cash, Check, wire, ACH, or other agreed upon payments.

5.3 Price Changes

  • We may modify pricing with 30 days written notice
  • Existing contracts are honored through their term
  • Price changes take effect at next billing cycle

6. Data and Privacy

6.1 Data Ownership

  • You retain ownership of your business data and customer information
  • We own AI algorithms, system improvements, and aggregated insights
  • You grant us license to use data for service delivery and improvement

6.2 Data Security

  • We implement industry-standard security measures
  • You are responsible for securing your account credentials
  • We provide data backup and recovery services
  • Data breaches will be reported according to legal requirements

7. Service Level and Support

7.1 Availability

  • We target 99.99% uptime for our services
  • Scheduled maintenance will be announced in advance
  • Service credits may apply for significant outages
  • Emergency support is available for critical issues

7.2 Support Services

  • Technical support during business hours
  • Account management and consultation
  • AI optimization and performance tuning
  • Training and onboarding assistance

8. Intellectual Property

8.1 Our Property

  • All AI technology, algorithms, and software remain our property
  • Service improvements and enhancements are our intellectual property
  • You may not reverse engineer or copy our technology

8.2 Your Content

  • You retain rights to your business content and messaging
  • You grant us license to use content for service delivery
  • You warrant that your content does not infringe third-party rights

9. Limitations and Warranties

9.1 Service Disclaimers

  • AI responses are automated and may contain errors
  • We do not guarantee specific business outcomes or results
  • Service performance may vary based on external factors
  • Third-party integrations are subject to their terms and availability

9.2 Limitation of Liability

  • Our liability is limited to the amount paid for services
  • We are not liable for indirect, consequential, or punitive damages
  • You agree to indemnify us against claims arising from your use of services
  • Maximum liability per incident is the current billed amount or monthly fees, whichever is greater

10. Term and Termination

10.1 Service Term

  • Services continue until terminated by either party
  • Minimum commitment periods may apply to certain plans
  • Auto-renewal unless cancelled with proper notice

10.2 Termination

  • Either party may terminate with 30 days written notice
  • We may terminate immediately for breach of terms
  • Upon termination, you may export your data within 30 days
  • Refunds are prorated for prepaid unused services

11. AI Technology and Improvements

11.1 AI Development

  • Our AI systems continuously learn and improve
  • We may update AI models and capabilities
  • Performance improvements are included in service updates
  • Custom AI training available for enterprise clients

11.2 Data Usage for Improvement

  • Conversation data may be used to improve AI algorithms
  • All data usage complies with privacy policies
  • Sensitive information is protected and anonymized
  • You may opt out of data usage for AI improvement

12. Force Majeure

We are not liable for service interruptions due to circumstances beyond our control, including but not limited to natural disasters, government actions, third-party service failures, or other unforeseeable events.

13. Governing Law and Disputes

13.1 Jurisdiction

These terms are governed by the laws of Missouri. Any disputes will be resolved through binding arbitration in Jackson County, MO.

13.2 Dispute Resolution

  • Initial disputes should be addressed through customer support
  • Mediation may be required before arbitration
  • Class action lawsuits are waived

14. Modifications

We reserve the right to modify these terms with 30 days notice. Continued use of services constitutes acceptance of modified terms.
